Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SharpSharp platform, including our WhatsApp ordering service, vendor portal, and delivery coordination ("Services"). By using SharpSharp you agree to these Terms. If you do not agree, do not use the Services.

SharpSharp is operated by Kmini Technologies ("we", "us", "our").

1. Platform role

SharpSharp is a marketplace that connects customers with independent vendors and riders. We are not a restaurant, food producer, delivery company, or retailer. We facilitate ordering and logistics but do not prepare, manufacture, or personally deliver goods.

2. Accounts and eligibility

You must be at least 18 years old to create a vendor or rider account. Customers place orders via WhatsApp and are subject to WhatsApp's own terms. You are responsible for keeping your login credentials secure.

3. Vendor obligations

  • Provide accurate, up-to-date menu items, descriptions, and prices.
  • Fulfil accepted orders promptly and to the quality described.
  • Comply with all applicable food safety, licensing, and hygiene regulations.
  • Not list prohibited, illegal, or counterfeit products.

4. Rider obligations

  • Deliver orders safely and within the agreed timeframe.
  • Maintain valid vehicle documentation and insurance where required.
  • Handle food and products hygienically during transit.

5. Customer responsibilities

  • Provide accurate delivery details (address, phone number, landmarks).
  • Be available to receive your order at the delivery location.
  • Inspect your order on arrival; report issues within the timeframe in our Refund & Cancellation Policy.

6. Pricing and payments

Prices shown are set by vendors and are in Nigerian Naira (₦). Delivery fees are displayed before checkout. Payments are processed through Paystack. SharpSharp does not store card details.

7. Limitation of liability

SharpSharp vets vendors and riders during onboarding, but we do not guarantee the quality, safety, legality, or authenticity of any product or service listed on the platform. Vendors and riders are independent parties, not employees or agents of SharpSharp. To the fullest extent permitted by law:

  • We are not liable for any loss, injury, or damage arising from products sold by vendors or services performed by riders.
  • We are not liable for fake, counterfeit, misrepresented, or substandard goods listed by vendors, even if we have vetted the vendor.
  • Our total liability for any claim will not exceed the fees you paid to SharpSharp (not the vendor) in the 12 months before the claim.

8. Vetting and removal

We review vendor and rider applications and may conduct periodic checks. However, vetting does not constitute a warranty or guarantee. We reserve the right to suspend or remove any account that violates these Terms, receives repeated complaints, or poses a risk to users.

9. Intellectual property

All SharpSharp branding, software, and content are owned by Kmini Technologies. Vendors retain rights to their own product images and descriptions.

10. Termination

You may stop using SharpSharp at any time. We may suspend or terminate accounts for violations of these Terms, with or without notice. Outstanding payment obligations survive termination.

11. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts of Abia State, Nigeria, unless otherwise agreed.

12. Changes

We may update these Terms from time to time. Material changes will be communicated via WhatsApp or email. Continued use after a change constitutes acceptance.
